NeuroOne Awards Inducement Grant to New Employee Under Nasdaq Rule

NeuroOne Medical Technologies Corporation (Nasdaq: NMTC) announced that its independent directors approved an equity award under the company’s 2021 Inducement Plan as a material inducement for an individual to join the company as an employee. The award, effective June 24, 2026, grants an option to purchase 10,000 shares of common stock at an exercise price of $3.27 per share, the closing price on the grant date. The option has a ten-year term and vests over four years, with 25% vesting on June 24, 2027, and the remainder in quarterly installments, subject to continued employment and acceleration or forfeiture provisions.

This inducement grant aligns with Nasdaq Listing Rule 5635(c)(4), which requires public disclosure of equity awards not made under a stockholder-approved plan. The new hire was not a previous employee or director of NeuroOne. The company emphasized that such awards are critical for attracting top talent in the competitive medical technology sector.

NeuroOne, based in Eden Prairie, Minnesota, develops advanced electrode technology for neurological disorders. Its FDA-cleared product families include Evo® Cortical Electrodes, Evo® sEEG Electrodes, OneRF® Ablation System for the brain, and OneRF® Trigeminal Nerve Ablation System. These products aim to reduce hospitalizations and surgeries while improving patient outcomes through diagnostic and therapeutic capabilities. The company is also researching drug delivery, basivertebral nerve ablation, and spinal cord stimulation programs.

The inducement grant underscores NeuroOne’s strategy to strengthen its team as it advances its pipeline. By offering equity incentives, the company can attract experienced professionals who can contribute to its mission of transforming surgical treatment for neurological conditions.
