Blackboxstocks and REalloys Merger Clears Nasdaq Listing, Creating Public Heavy Rare Earth Platform

Blackboxstocks Inc. (NASDAQ: BLBX) announced today that the Nasdaq Capital Market has approved the company's listing application in connection with its merger with REalloys Inc. The merger is expected to close after the market closes today, February 24, 2026, subject to customary conditions. Following the closing, the combined company will trade under the ticker symbol "ALOY" on the Nasdaq Capital Market, beginning February 25, 2026.

The merger positions REalloys as a vertically integrated North American heavy rare earth platform built for national security and defense-oriented supply chain resilience. REalloys aims to become the largest producer of heavy rare earth oxides and metals outside of China by the first half of 2027, leveraging what it describes as among the most advanced commercial-scale heavy rare earth separation and metallization assets outside of China. The company emphasizes its compliance advantage, noting it is positioned to be the only North American heavy rare earth platform with a zero-China nexus supply chain aligned with 2027 U.S. defense procurement restrictions, currently servicing the Defense Logistics Agency.

REalloys' strategy includes a feedstock-agnostic approach to avoid reliance on a single captive source, mitigating supply concentration risk. The company is executing a phased scale strategy across oxide separation, metallization, and downstream magnet initiatives, including collaboration with JOGMEC, a leading organization on magnets outside China, to support high-performance magnet manufacturing for strategic markets. Built on existing infrastructure with phased expansion plans, REalloys aims to achieve accelerated commercial timelines with comparatively limited incremental capital requirements and reduced permitting risk relative to greenfield peers.

The announcement comes at a pivotal moment as national security, advanced manufacturing, and allied supply chains converge around the need for dependable, China-free heavy rare earth capability. REalloys' upstream foundation includes its Hoidas Lake rare-earth asset in Saskatchewan and a diversified network of allied feedstock and recycling partners. Together with the Saskatchewan Research Council, the company is scaling North American midstream separation, refining, and metallization capabilities. These refined materials supply REalloys' downstream manufacturing operations in Euclid, Ohio, which produce advanced alloys and magnet components for defense, clean-energy, and high-performance industrial applications. The Ohio facility serves federal logistics and procurement agencies supporting the Department of Defense, the Department of Energy, and NASA, in addition to the broader Defense Industrial Base.

Blackboxstocks Inc., a financial technology and social media hybrid platform, will cease to exist as a separate entity following the merger. The company's software provides real-time proprietary analytics and news for stock and options traders. Investors and security holders are urged to read the merger registration statement and related documents filed with the SEC, available at www.sec.gov and through Blackboxstocks' website at https://blackboxstocks.com.
