Datavault AI Inc. (NASDAQ: DVLT), a provider of data monetization, credentialing, digital engagement and real-world asset tokenization technologies, has entered into a binding letter of intent to acquire all outstanding shares of CyberCatch (TSXV: CYBE) (OTCQB: CYBHF), a cybersecurity company offering a patented, AI-enabled platform for continuous compliance and cyber risk mitigation. The all-stock transaction is valued at approximately CAD $136.8 million.

Under the terms of the LOI, CyberCatch will operate as a subsidiary of Datavault AI, with CyberCatch founder, Chairman and CEO Sai Huda serving as president of the subsidiary. The acquisition is expected to bolster Datavault AI's capabilities in securing digital assets and enhancing its data monetization platform. CyberCatch's AI-driven cybersecurity solutions will complement Datavault AI's existing Acoustic Science and Data Science divisions, which provide technologies for wireless HD sound transmission and Web 3.0 data valuation and monetization.

Datavault AI's cloud-based platform includes the Information Data Exchange (IDE), which enables Digital Twins and licensing of name, image, and likeness by securely attaching physical real-world objects to immutable metadata objects. The addition of CyberCatch's continuous compliance and risk mitigation capabilities is expected to strengthen data integrity and security for clients across various industries, including sports and entertainment, biotech, fintech, real estate, healthcare, and energy.

The transaction highlights the growing convergence of data monetization and cybersecurity in the Web 3.0 ecosystem. As organizations increasingly rely on digital assets and AI-driven solutions, securing these assets against cyber threats becomes paramount. Datavault AI's acquisition of CyberCatch positions the combined entity to offer comprehensive solutions that address both the valuation and protection of digital assets.
