Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, announced today that Silicon Catalyst Angels I, LLC (“SCA”) has made a direct strategic investment in the company as part of a recently completed private placement. This investment marks SCA as the second strategically aligned semiconductor investor to back Edgewater’s Spectrum Slicing™ and PrismIQ™ roadmap, underscoring growing confidence in the company’s technology as it advances toward prototype validation and commercial engagements.
The private placement, which closed in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units, each comprising one common share and one warrant. The second tranche, which included SCA’s investment, consisted of 4,799,666 units at a price of $0.06 per unit for gross proceeds of $287,979.96. Edgewater’s Chairman, Brian Imrie, also participated, investing an additional $96,000, reinforcing insider alignment with shareholders. The securities issued in this tranche are subject to a statutory hold period until January 9, 2027, and the closing remains subject to final TSX Venture Exchange acceptance.
The strategic investment from SCA extends Edgewater’s relationship with Silicon Catalyst, which began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to Silicon Catalyst’s extensive ecosystem, including over 500 industry experts, several million dollars’ worth of in-kind design, fabrication, and commercialization resources, and welcomed Silicon Catalyst COO Nick Kepler as a Board Observer. This network is expected to accelerate Edgewater’s progress from engineering execution toward prototype validation and partner demonstrations.

The company is advancing its PrismIQ™ platform and next-generation Spectrum Slicing™ roadmap, with an initial product release targeted for the first half of 2027. As Wi-Fi evolves toward Wi-Fi 7 and beyond, where devices operate in wide but often congested spectrum, Edgewater’s technology addresses critical performance challenges, aiming to deliver a 10x improvement in performance and up to 50% lower latency.
