Focus Universal Implements 1-for-10 Reverse Stock Split to Regain Nasdaq Compliance

Focus Universal Inc. (Nasdaq: FCUV), a provider of patented hardware and software design technologies for Internet of Things (IoT) and 5G, announced that its Board of Directors has approved a 1-for-10 reverse stock split of the Company's common stock. The reverse split will become effective at 12:01 a.m. Eastern Standard Time on February 9, 2026, and will be reflected on the Nasdaq Capital Market at the open of business that day. The decision, approved by unanimous written consent on January 27, 2026, aims to increase the per-share trading price of the Company's common stock to meet Nasdaq's minimum bid price requirement and maintain its listing.

As of the Effective Date, every 10 shares of issued and outstanding common stock will be combined into one share. The par value per share remains unchanged. Based on 9,865,249 shares outstanding as of January 27, 2026, the reverse split will reduce the number of outstanding shares to approximately 986,524, subject to adjustment for fractional shares. No fractional shares will be issued; instead, stockholders will receive a cash payment in lieu of any fractional share. Proportional adjustments will be made to the number of shares issuable upon exercise of equity awards, securities, and warrants, as well as the applicable exercise prices and the number of shares authorized and reserved under equity incentive plans.

The Company's transfer agent, VStock Transfer, LLC, will serve as exchange agent and paying agent. Registered stockholders holding shares in book-entry form need not take any action, as their holdings will be automatically adjusted. Those holding shares through brokerage accounts or in "street name" will also have their positions adjusted automatically by their brokers.

The reverse stock split does not change the Company's business operations or the proportional ownership interests of stockholders.
