(TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, creating what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana. The transaction, which closed after receiving all necessary approvals, combines the adjacent Oko West and Oko-Ghanie deposits, a move expected to unlock significant operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity and enhanced operational flexibility.

Under the terms of the arrangement, each G2 Goldfields share was exchanged for 0.212 common shares of GMIN and 0.50 common shares of G3 Goldfields, a newly spun-out company. The combined entity now holds a dominant position in the Guiana Shield, a prolific gold-producing region. GMIN emphasized that the integration of these contiguous deposits will create a mining complex with expanded scale and efficiency, positioning the company for production growth and cost optimization.

The company also clarified that previously disclosed mineral resource estimates for the Oko-Ghanie Project, historically reported by G2 Goldfields, should be considered historical estimates under National Instrument 43-101 and are not current mineral resources from GMIN’s perspective. To bring the estimates up to current standards, GMIN plans to undertake additional geological modeling, data integration and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report in 2027, providing a detailed roadmap for the development of the complex.
