G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) announced that its largest shareholder, La Mancha Investments S.à r.l., has exercised its top-up right under an investor rights agreement to increase its ownership stake to approximately 19.9%. In connection with this transaction, the company will issue 9,311,745 common shares to La Mancha at CAD45.89 per share for aggregate gross proceeds of about CAD427 million. The closing is expected on or about March 11, 2026, subject to customary conditions including Toronto Stock Exchange approval.

The proceeds are intended to reduce reliance on debt related to the development of the Oko West Gold Project, increase exploration activities, accelerate debt repayment, and support general corporate purposes.
