Golden Goose Resources Ltd. (the “Company” or “Golden Goose”) has entered into a Definitive Agreement with Valcheta Exploraciones S.A.S. to acquire up to a 100% interest in the Gran Esperanza Project, an epithermal gold-silver property in Río Negro Province, Argentina. This agreement marks a significant milestone for the Company, reinforcing its strategy of securing district-scale, high-grade precious metal assets in proven mining jurisdictions.
The Gran Esperanza Project comprises approximately 44,400 hectares in the Los Menucos District, North Patagonian Massif, a region known for high-grade precious metal potential. It is surrounded by major operators, including Southern Copper, and located near the Calcatreu Project under development. The property features over 10 km of historically mapped low-sulfidation epithermal gold vein exposures, with veins averaging 1-5 metres in apparent width. Historical trenching and channel sampling have returned high-grade results, including 2.0 metres at 24.0 g/t Au and 5.0 metres at 13.1 g/t Au, highlighting the project's potential from surface.
Golden Goose completed a comprehensive due diligence process, including a site visit in December 2025, during which four rock-chip samples were collected. Three samples returned gold values above 2.0 g/t Au, with one grading 14.34 g/t Au, confirming the high-grade potential. The Project benefits from excellent infrastructure, situated approximately two kilometres from a paved highway with gentle topography and numerous secondary roads.
Under the Definitive Agreement, Golden Goose can earn up to a 100% interest through staged option payments and exploration expenditures. The option stages include cash payments totaling US$1,889,500 and exploration expenditures of US$2,599,000 over several years. The Project is subject to a 1.0% net smelter return royalty, of which Golden Goose can purchase 0.5% for US$1.0 million. Upon exercising the First Option, a joint venture will be formed with Golden Goose as operator holding a 51% interest, with a clear path to 100% ownership upon exercising the Third Option.
