HeartBeam Launches Public Offering to Fund Commercialization and AI Development

HeartBeam Inc. (NASDAQ: BEAT), a medical technology company focused on cardiac care innovation, announced it is commencing an underwritten public offering of shares of its common stock or common stock equivalents. The final size and terms of the offering are subject to market conditions, with all securities to be offered by the company. Titan Partners, a division of American Capital Partners, is acting as sole bookrunner.

The company intends to use the net proceeds from the offering to advance the commercialization of its FDA-cleared 12-lead synthesized ECG system, further develop its extended-wear patch and heart attack detection initiatives, and enhance its artificial intelligence capabilities. Additionally, funds will support working capital and general corporate purposes.

HeartBeam is creating the first cable-free device capable of collecting ECG signals in 3D from three non-coplanar directions and synthesizing them into a 12-lead ECG. This platform technology is designed for portable devices that can be used wherever the patient is, delivering actionable heart intelligence. Physicians can identify cardiac health trends and acute conditions and direct patients to appropriate care outside of a medical facility.

The company’s 3D ECG technology received FDA clearance for arrhythmia assessment in December 2024, and the 12-lead ECG synthesis software received clearance in December 2025. HeartBeam holds over 20 issued patents related to its technology. More details on the cleared indications for use are available at https://www.heartbeam.com/indications.

The offering is aimed at accelerating HeartBeam’s mission to redefine cardiac health management by enabling remote monitoring and early detection of critical conditions. The company’s innovative approach has the potential to reduce healthcare costs and improve patient outcomes by allowing timely intervention. As HeartBeam moves toward broader commercialization, this capital raise is a critical step in scaling production, expanding sales efforts, and integrating AI for more accurate diagnostics.
