Ideal Group of Companies, Inc. (OTC: IDGR) has acquired Hospitality Development Group (HDG) in an all-stock transaction, the company announced. The acquisition includes a diversified portfolio of assets spanning real estate development, precious metals mining, and technology platforms, positioning IDGR for significant growth and enhanced shareholder value.
The transaction includes two strategically positioned real estate projects. The Palazzo del Lago Resort in Orlando, Florida, is a world-class mixed-use resort project featuring 1,552 luxury rooms and suites in Phase I, with additional villa towers planned. The resort is designed in Italian Renaissance style and has an agreement to be designated as an Orange County Convention Center Hotel. The second project is the Arden Mills development in Fitchburg, Massachusetts, a 156-unit rental property on a 7-acre site along the Nashua River, with previously granted permits expected to be fast-tracked.
Expanding into natural resources, the acquisition includes gold mining and mineral rights concessions in Bolivia, providing exposure to rising gold prices and diversifying IDGR's revenue streams. The technology assets comprise three platforms: Virtual HealthMD, a telehealth service offering 24/7 physician access; Virtual PetMD, a similar platform for veterinary care; and Virtual365.app, a decentralized platform for hosting and monetizing immersive virtual events using Web3 technology.
Charles Cardona, CEO of Ideal Group of Companies, described the acquisition as a watershed moment, stating that it provides financial leverage, market positioning, and growth engines across multiple high-value sectors. Jerrold R. Krystoff, CEO of Hospitality Development Group, expressed confidence in IDGR's vision for leveraging the assets to create value.
The acquisition is expected to accelerate IDGR's growth trajectory, with plans to seek financing for the real estate projects and commence operations of the technology platforms. The company aims to create sustainable value for shareholders through disciplined capital deployment.
