Invech Holdings, Inc. (OTC PINK: IVHI), a Nevada corporation headquartered in Wyoming specializing in SaaS and general application development, has announced the signing of a $10 million USD S-1 ELOC financing agreement, as disclosed in an SEC filing. The company plans to allocate at least 60% of the raised funds to real estate acquisitions for long-term and short-term rentals, and approximately 10% to the growth of its new platform, Paragon Rentals AI.
CEO and majority owner Alexander M. Woods-Leo emphasized that the financing is part of a long-term growth strategy. “When we file the S-1 we will disclose the total Use of funds schedule. However, we are planning on balancing the balance sheet and cash flows in our business plan,” he stated.
To address shareholder concerns about dilution from the financing and other convertible instruments, Invech announced a “no nonsense dilution awareness” initiative. Under this plan, the majority holder will retire shares equal to each drawdown from the ELOC. For instance, if a drawdown of $100,000 results in the issuance of 1,000,000 shares at $0.10 per share, management will return 1,000,000 shares of common stock to treasury. This commitment extends to shares issued upon conversion of a recent debt note related to the Paragon Rentals AI assets, which is convertible into 10,000,000 common shares, and a separate note held by prior management convertible into 2,000,000 shares. In total, Woods-Leo plans to dedicate up to 42 million shares of his common stock to treasury returns to prevent unnecessary dilution.
Additionally, the company is seeking to amend the terms of its 300,000 Preferred A shares, which currently grant conversion rights into 300 million common shares. Management proposes to eliminate the conversion preference entirely, instead designating the class to carry 80% voting power regardless of outstanding common and preferred shares. “We as a company are planning to remove the conversion preference entirely. This should give assurance to shareholders we are striving for value over insanity,” the announcement read.
