MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has completed its previously announced strategic transaction with Homeland Critical Minerals Corp., following clearance from the Canadian Securities Exchange (CSE). The company sold its wholly owned subsidiary, MAX Power Resources LLC, which holds the Willcox Playa Lithium Project in Arizona, in exchange for 11 million Homeland common shares valued at approximately C$1.1 million. This stake represents just under 50% of Homeland’s outstanding shares, providing MAX Power continued exposure to the Willcox Project while allowing the company to remain focused on advancing its Natural Hydrogen strategy at the Lawson Complex and the broader Genesis Trend in Saskatchewan.
The transaction is a key step in MAX Power’s strategic pivot toward Natural Hydrogen, a nascent and potentially transformative energy resource. By divesting the lithium project but retaining a significant equity interest, MAX Power achieves a balance: it monetizes an asset that requires substantial capital for development while preserving upside if the project succeeds under Homeland’s stewardship. This approach mitigates risk and allows MAX Power to allocate resources to its core focus—exploring for natural hydrogen, which is considered a clean and potentially abundant energy source.
MAX Power’s Natural Hydrogen efforts are centered on the Lawson Discovery near Central Butte, Saskatchewan, which represents Canada’s first-ever subsurface Natural Hydrogen system confirmed through deep drilling, with data validated by three independent labs. The company has built dominant district-scale land positions across Saskatchewan with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. This positions MAX Power as a leader in a field that could play a crucial role in the global transition to decarbonized energy.
According to the company, it may evaluate alternatives for its Homeland share position in the future, including a potential distribution of some or all shares to MAX Power shareholders, subject to applicable corporate, securities, and regulatory requirements. This flexibility could provide direct value to shareholders, enhancing the attractiveness of the transaction.
The completion of this deal underscores MAX Power’s commitment to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance. As the company pivots to Natural Hydrogen, it remains dedicated to advancing projects that align with the shift toward decarbonization.
For investors, this transaction signals a strategic realignment that could unlock value. By focusing on Natural Hydrogen, MAX Power is positioning itself in a niche with significant growth potential, while the equity stake in Homeland provides a safety net and potential windfall. The company’s ability to execute such strategic moves while maintaining a clear vision for its future is a positive indicator for stakeholders.
