Nano-X Imaging Announces $8 Million Registered Direct Offering to Fund Working Capital and General Corporate Purposes

Nano-X Imaging Ltd. (NASDAQ: NNOX), a company focused on transforming preventive healthcare through an integrated medical imaging and services platform, has announced a securities purchase agreement with a single long-term institutional investor for a registered direct offering. The offering is expected to generate approximately $8 million in gross proceeds before fees and expenses, providing the company with additional capital to support its strategic initiatives.

Under the terms of the agreement, the investor will purchase 8 million ordinary shares, or prefunded warrants in lieu thereof, along with warrants to purchase up to an additional 8 million ordinary shares. The combined purchase price is set at $1.00 per share and accompanying warrant. The warrants have an exercise price of $1.15 per share, become exercisable six months after issuance, and expire five years after the closing. The offering is anticipated to close on or about Aug. 7, 2026, subject to customary closing conditions.

Nano-X stated that it intends to use the net proceeds from the offering for working capital and general corporate purposes. This capital infusion comes at a time when the company is advancing its comprehensive Nanox ecosystem, which includes the Nanox.ARC, a cost-effective 3D multi-source digital tomosynthesis imaging system; Nanox.AI, a suite of AI algorithms designed to augment CT imaging interpretation for early disease detection; Nanox.CLOUD, a cloud-based platform for secure data management and imaging analytics; and Nanox.MARKETPLACE, along with USARAD Holdings, which provides access to remote radiology and cardiology experts. Additionally, Nanox Health IT integrates RIS, PACS, AI, dictation, and secure infrastructure solutions to streamline workflows and enhance care delivery.

The importance of this offering lies in its potential to accelerate Nano-X's mission of expanding access to medical imaging beyond traditional hospital settings. By securing additional funding, the company can continue to develop and commercialize its technologies, which aim to lower barriers to adoption, improve utilization, and advance preventive care worldwide. The involvement of a long-term institutional investor also signals confidence in Nano-X's strategic direction and market potential.

A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction. The offering is part of Nano-X's broader efforts to integrate imaging technology, AI, cloud infrastructure, clinical expertise, and health information technology into a seamless solution from scan to interpretation and beyond.
