Redwood AI Completes Acquisition of Quantum.IQ Technologies, Bolstering Quantum Cybersecurity Portfolio

Redwood AI Corp. (CSE: AIRX) (OTCQB: RDWCF) (Frankfurt: Y0N) (WKN: A422EZ) has finalized its acquisition of all issued and outstanding shares of Quantum.IQ Technologies Inc., a Vancouver-based firm specializing in quantum cybersecurity. This move integrates Quantum.IQ's post-quantum cryptography (PQC) platform into Redwood's technology suite, enhancing its capabilities in cryptographic visibility, quantum-readiness assessment, and security infrastructure planning. The acquisition is a strategic response to the growing threat quantum computing poses to current encryption standards.

Quantum.IQ's PQC platform is tailored for high-security sectors including government, defense, financial services, and critical infrastructure. It offers a range of features such as cryptographic asset discovery, creation of Cryptographic Bill of Materials, alignment with emerging standards, vulnerability management, migration planning, continuous monitoring, and executive-level reporting. These tools are designed to help organizations proactively prepare for the quantum era, ensuring their encryption systems remain robust against future cyber threats.

As part of the transaction, Redwood issued up to 14,033,558 common shares at a deemed price of $2.98 per share. This includes 7,033,558 shares placed in staged escrow over 24 months and up to 7 million additional shares held in milestone escrow, contingent on achieving specified customer and revenue targets. Additionally, 50,000 shares were issued as an administrative fee and 100,000 shares as a finder's fee. The structure of the deal aligns the interests of Quantum.IQ's stakeholders with Redwood's long-term growth and performance.

This acquisition underscores Redwood's commitment to expanding its technological footprint beyond its core focus on AI-driven chemistry R&D. By incorporating quantum cybersecurity capabilities, Redwood aims to offer comprehensive solutions that address both scientific innovation and critical security challenges. The integration of Quantum.IQ's expertise is expected to create synergies, enabling Redwood to deliver more value to clients in defense and other high-stakes industries.

The completion of this acquisition is a significant milestone for Redwood AI, marking its entry into the rapidly evolving field of quantum-safe security. As quantum computing advances, the need for robust post-quantum cryptography will become increasingly urgent. Redwood's strategic positioning in this niche could provide a competitive edge, offering organizations the tools needed to safeguard sensitive data against future threats. This development is likely to be of keen interest to investors and stakeholders monitoring the convergence of AI and cybersecurity.
