SKYX Platforms Corp. (NASDAQ: SKYX) has signed a merger agreement with Deako Inc., a Silicon Valley-backed smart home AI platform and intelligent lighting company, in a move that could reshape the smart home and building technology landscape. The combination brings together SKYX's plug-and-play ceiling outlets, wall outlets, and wall switches with Deako's advanced smart home and AI capabilities, creating a unified platform expected to accelerate deployment across residential and commercial markets.
Deako has shipped more than 32 million units over the past five years, generated more than $26 million in revenue in 2025, and supplies more than 50 U.S. builders. This extensive builder footprint provides SKYX with a direct channel to scale its technologies rapidly. In turn, Deako products will gain access to SKYX's hotel and development projects, opening new revenue streams and expanding market reach. The merger is expected to create cost-saving synergies and future recurring revenue opportunities from product upgrades, AI services, monitoring, subscriptions, and licensing.
Under the agreement, SKYX will issue 25 million common shares as merger consideration, subject to a lockup and leak-out agreement. Current SKYX shareholders are expected to own 84.4% of the post-merger company, while Deako shareholders and its lender will collectively own 15.6%. SKYX will also pay Deako's lender $4 million at closing and issue an $8.5 million note, with $2.25 million due in the first quarter of 2027 and $6.25 million in the fourth quarter. The combination will bring together more than 120 patents and pending applications, solidifying the merged entity's intellectual property portfolio and competitive position.
The strategic rationale is clear: by integrating Deako's smart home AI platform with SKYX's advanced safe and smart technologies, the merged company aims to make homes and buildings safer, smarter, and more connected as a new standard. SKYX's mission emphasizes high quality, ease of use, and significant enhancements to safety and lifestyle. With over 100 U.S. and global patents and patent pending applications, plus ownership of 60 lighting and home decor websites, SKYX already has a strong foundation. Adding Deako's builder relationships and proven unit shipments could accelerate adoption of plug-and-play technologies that simplify installation and upgrade paths for builders and consumers alike.
The merger also positions the combined company to capitalize on recurring revenue opportunities. As smart home devices proliferate, services such as AI-driven monitoring, subscriptions, and licensing can provide predictable income streams. This aligns with broader industry trends where hardware is increasingly complemented by software and service ecosystems. For investors, the deal offers exposure to a larger addressable market and potential operational efficiencies. For builders and developers, it promises a more integrated and scalable solution for smart home deployments.
