Telvantis Inc. (OTC: RDAR) has entered into a definitive agreement to sell its international voice services business, Telvantis Voice Services, Inc. (TVS), to Spectral Capital Corporation through a stock-for-stock exchange structured as a tax-free reorganization under Section 368(a)(1)(B) of the U.S. Internal Revenue Code. The transaction, announced jointly by the companies, includes shares issued at closing and performance-based earn-out shares tied to revenue and profitability milestones for the 2026 financial year, aligning long-term incentives with operating performance.

The divestiture of TVS, which provides enterprise and carrier customers with high-volume international voice traffic capabilities, marks a pivotal step in Telvantis' strategic evolution. The company is repositioning itself as a U.S.-based technology and industrial holding company with an increased emphasis on wireless and 5G infrastructure, as well as the incubation, acquisition, and growth of related technology assets. By shedding its largest operating entity, Telvantis aims to sharpen its focus on high-growth segments while providing a potential path to value realization for shareholders.
