The company announced that it has executed definitive agreements with the U.S. Department of War for a previously disclosed strategic equity investment of approximately $35.6 million. This investment is earmarked to advance exploration and development of the Upper Kobuk Mineral Projects (UKMP) in northwestern Alaska, a region rich in copper and other critical minerals essential for domestic supply chains.

Under the agreements, the Department of War will invest roughly $17.8 million directly into Trilogy Metals, with an equal amount directed through a transaction involving the company's joint venture partner, South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY). The proceeds from these investments are committed to the UKMP, which is operated under Ambler Metals LLC, a 50/50 joint venture between Trilogy Metals and South32. Upon completion, the Department is expected to hold approximately 10% of Trilogy Metals on a non-diluted basis, reflecting the government's confidence in the project's strategic importance.

The transaction is anticipated to close in September 2026, subject to customary closing conditions. This investment underscores the U.S. government's interest in securing domestic sources of critical minerals, particularly copper, which plays a vital role in infrastructure, defense, and clean energy technologies. The UKMP is located within the Ambler Mining District, recognized as one of the world's richest and most prospective copper-dominant districts. It hosts polymetallic volcanic massive sulfide (VMS) deposits containing copper, zinc, lead, gold, and silver, as well as carbonate replacement deposits rich in high-grade copper and cobalt. Exploration efforts have centered on two primary deposits: the Arctic VMS deposit and the Bornite carbonate replacement deposit. Together, these sites cover a land package spanning approximately 190,929 hectares.

Trilogy Metals has emphasized its commitment to responsible development, holding an agreement with NANA Regional Corporation, an Alaska Native Corporation, which provides a framework for exploration and potential development in cooperation with local communities. The company's vision is to become a premier North American copper producer while protecting and respecting subsistence livelihoods.
